Keep the different name checks straight
A state search is one part of choosing a name. Our guide to entity names, DBAs, trademarks and domains explains how to keep those checks separate and record what still needs an answer.
What to check before filing
- A distinguishability standard. Your name must be distinguishable in the state's records from existing entities, reserved names, and registered foreign entities. Each state defines "distinguishable" in its own statute or administrative rules, small differences matter.
- The search's limits. A public database helps you find existing records, but it may not determine whether the filing office will accept a proposed name. Check the state guide for fees and any formal inquiry process.
- Name reservation. Availability, fees, and reservation periods vary. Check the state's current procedure before paying to hold a name.
- A limit to what clearance means. A state accepting your name does not protect you from trademark claims. Availability and trademark rights are separate questions.
